Terms of Service

Effective Date: September 21, 2024

These Terms of Service ("Terms") govern your use of the website and the services provided by Maheshwar Chandra Roy ("we," "us," or "our"). By hiring us for a project or using this website, you agree to these Terms.

1. Project Engagement & Scope

All projects will have a clearly defined scope of work documented via email or a formal proposal. Any requests that fall outside the initial scope of work will be billed additionally at our standard hourly rate or as a separate flat-fee agreement.

2. Payment Terms

We maintain a strict payment structure to ensure commitment from both parties. We accept payments globally via Payoneer, Visa, Mastercard, Bank Transfer, and Cryptocurrency.

  • Upfront Deposit: A 50% non-refundable deposit is required before any design, development, or discovery work begins.
  • Final Payment: The remaining 50% balance is due upon project completion, before the final source code is delivered or the website is deployed to your live server.
  • Delays: If the project is delayed by more than 14 days due to the client failing to provide necessary feedback or assets, we reserve the right to invoice for the work completed to date.

3. Revisions & Revisions Limit

We strive for perfection and client satisfaction. Our standard project quotes include up to two (2) rounds of revisions during the design and development phases. Additional revisions beyond the agreed scope will be subject to additional charges.

4. Intellectual Property & Code Ownership

By default, upon final payment clearance, you are granted a perpetual, non-exclusive license to use the custom website or application for your business. However, we retain the intellectual property rights to the underlying foundational code, libraries, and components, allowing us to reuse these functional elements for future projects.

If you require Full Exclusive Ownership (IP Transfer)—meaning we hand over all rights and agree never to reuse or resell the codebase—this must be requested before the project begins and will be subject to a Premium IP Buyout Fee.

Regardless of the license type, we reserve the right to showcase the completed project in our portfolio, case studies, and social media, unless a strict Non-Disclosure Agreement (NDA) is signed prior to the project start.

5. Warranties & Liability

We build robust, high-performance digital products using modern web standards. However, we do not guarantee that our code will be error-free indefinitely, especially as web browsers, external APIs, and third-party dependencies update over time. After the final handover and the standard 14-day bug-fixing window, any maintenance or updates will require a separate maintenance agreement.

6. Termination

Either party may terminate the project at any time for any reason. If the client terminates the project, the initial 50% deposit is forfeited. If work completed exceeds the value of the deposit, the client will be invoiced for the remaining uncompensated work.
